EMD and Performance Guarantees: A Practical Guide for Bidders

Understand the difference between EMD and performance guarantees, what to check in tender documents, and how to manage security requirements without avoidable errors.

Understanding the two securities Earnest Money Deposit, commonly called EMD or bid security, and a performance guarantee address different stages of procurement. EMD generally supports the bidder’s commitment during the bidding process. A performance guarantee generally secures obligations after an award, as specified in the contract. They are not interchangeable. The terminology, acceptable instruments, amounts, submission procedures and release conditions depend on the particular tender. Always read the tender notice, instructions to bidders, security formats, contract conditions and subsequent amendments together. What to check for EMD Start by establishing whether the tender requires EMD and how it must be submitted. Depending on the tender, the documents may specify an electronic payment, bank guarantee or another permitted instrument. Do not assume that a method accepted in an earlier procurement will be accepted again. Check the beneficiary details, prescribed wording, validity requirements and whether an original document must accompany an online submission. Uploading a scanned copy may not complete the requirement if another submission step is specified. If the tender provides an exemption route, verify its conditions and required evidence. A business registration or certificate should not be treated as an automatic exemption. Where wording is unclear, seek clarification through the buyer’s stated process rather than relying on general advice. Understanding performance guarantees Performance security may take the form of a bank guarantee or another instrument permitted by the contract. Its purpose is different from EMD: it relates to the supplier’s or contractor’s performance obligations rather than participation in the bidding process. Review the required submission stage, calculation basis, approved format and validity. Also check whether coverage must extend through delivery, completion, warranty or another contractual period. These requirements vary; the tender documents govern. Do not assume EMD will automatically become performance security. Check whether the documents provide for adjustment, separate submission or another arrangement. Managing cost, validity and release Security arrangements can affect working capital and banking facilities. Before bidding, ask your bank or financial team about instrument issuance, collateral requirements, charges and processing steps relevant to your situation. Assess these alongside the tender’s commercial terms. Track validity and any separate claim period stated in the instrument. If the contract changes, check whether the security also needs amendment or extension. Avoid treating completion of work as proof that the security has been released. Read the conditions for EMD forfeiture and performance guarantee invocation carefully. They concern different risks and should not be treated as identical. Keep evidence of submission, acceptance, amendments and requests for release. Follow the stated return or discharge process. Practical checklist before submission Confirm which securities the tender requires. Check the amount or calculation method against the documents. Verify the beneficiary name and prescribed instrument wording. Confirm acceptable issuers, payment routes and authentication steps. Check validity, claim periods and submission requirements. Validate any claimed exemption and supporting documents. Record forfeiture, invocation and release conditions. Assign responsibility for tracking extensions and discharge. Use discovery tools, then verify LatestTender is an independent Indian tender discovery platform operated by TEBCOS INDIA. Discovery can help you identify opportunities, but a listing or summary is not a substitute for the buyer’s official documents. Resolve discrepancies through the designated clarification process before committing funds or submitting security.
