EMD and Performance Guarantees: A Practical Guide for Bidders
Understand the difference between EMD and performance guarantees, what to check in tender documents, and how to plan security arrangements before bidding.
Understanding the two securities
Earnest Money Deposit, commonly called EMD or bid security, and a performance guarantee serve different purposes in procurement. EMD generally supports the bidder’s commitment during the bidding process. A performance guarantee generally secures the successful bidder’s contractual obligations after award.
These are broad descriptions, not universal requirements. Each tender’s documents govern whether security is required, its amount, acceptable form, submission procedure, validity and release conditions. Read the tender notice, bidding instructions, contract conditions, prescribed formats and any amendments together.
What to check for EMD
Start by identifying the EMD requirement and the stage at which it must be submitted. Check whether the tender calls for payment, an approved security instrument, a declaration or another specified arrangement. Do not assume that a method accepted in an earlier tender will be accepted again.
Confirm the beneficiary details, submission channel and evidence required with the bid. If a bank guarantee is permitted, examine the prescribed wording and any authentication or delivery instructions. An upload may not replace an original document where the tender separately requires one.
Look carefully at the return and forfeiture provisions. A tender may identify circumstances such as withdrawing a bid during its validity or failing to complete specified post-award obligations. The actual triggers must be verified from the applicable documents rather than inferred from general practice.
How performance guarantees differ
A performance guarantee concerns contract execution rather than participation in the bidding process. Tender documents may use terms such as performance security or security deposit; do not assume these always describe identical arrangements.
Check when the security becomes due, how its value is determined and whether it must cover delivery, completion, warranty or other contractual obligations. Examine validity, any additional claim period, extension requirements and release conditions separately.
If the contract schedule changes, review whether the security also needs extension. Completion of supply or work does not necessarily mean immediate release: acceptance, outstanding obligations and the contract’s stated conditions may still matter.
Exemptions need specific verification
Do not assume that business size, registration status or participation on a particular procurement platform automatically provides an EMD exemption. Verify the tender’s exemption provisions, the supporting documents requested and whether the exemption applies to your circumstances.
An EMD exemption should not be treated as an exemption from performance security. If the tender appears inconsistent with an official provision you believe applies, seek clarification through the authorised procurement channel before relying on your interpretation.
Practical pre-bid checklist
Identify every security requirement and its purpose.
Record the amount or calculation method stated in the tender.
Confirm accepted instruments, beneficiary details and prescribed wording.
Check submission instructions, validity and any claim period.
Verify exemption conditions and supporting evidence, if relevant.
Review forfeiture, invocation, extension and release clauses.
Assess cash-flow needs and obtain instrument issuance requirements from your bank or other permitted issuer.
Keep submission acknowledgements and track security-related obligations throughout the contract.
Using discovery platforms responsibly
LatestTender is an independent Indian tender discovery platform operated by TEBCOS INDIA. Use discovery information to identify opportunities, then verify security requirements against the issuing authority’s complete tender documents and amendments.
GeM is a government platform; LatestTender is not officially affiliated with it. Neither a discovery listing nor general educational guidance establishes your eligibility or guarantees a successful bid.
